Technology Due Diligence

There are various kinds of due diligence engagements we support, depending upon needs of the Private Equity firm and that status of the Portfolio Company being considered for investment.

 

 

Stand Alone Acquisitions

A comprehensive detailed business process and technical review / evaluation of a prospective investment to determine future technology needs. We obtain a detailed understanding of the IT environment’s ability to support both the current and future states of the business, verify that the Company is making the most out of the functionality available to them, the level of maturity and integration of systems in use, and to assess the capacity of the existing systems/environments to scale to support further meaningful growth.

Add-On

To facilitate an add-on acquisition, we conduct a thorough technical and process review to help us build a high-level integration plan. This plan spells out how we’ll integrate the technologies of both the acquired and acquiring businesses, complete with timelines, milestones and associated costs. We also craft a vision for how the combined businesses will operate when integration is complete, and we can even act as a team leader during the acquisition. 

Carve-Out

The carve-out plan starts with an analysis of the decoupling objectives on both sides of the transaction. We then convert those findings into a thoroughly-vetted plan of milestones and deliverables to meet those objectives.  As the decoupling progresses, AIT actively manages the process, particularly timelines and costs, and provides hands-on support of the TSA process.
